Association, San Antonio Chapter: Constitution
ARTICLE I – Name
This organization shall be known as the San Antonio Chapter
of the American Statistical Association (ASA).
ARTICLE II – Purpose
The San Antonio Chapter of the ASA is a non-profit organization.
It is organized exclusively for charitable, educational, and scientific
purposes, including the making of distributions to organizations
that qualify as exempt organizations under section 501(c)(3) of the
Internal Revenue Code, or corresponding section of any future
federal tax code. Its purposes shall be to foster in the broadest
sense statistics and its applications, and to promote unity and
effectiveness of effort among all groups in the San Antonio, Texas
area concerned with statistical problems. To this end, the Chapter
shall conduct meetings, publish a newsletter describing statistical
activities, make available information concerning the science of
statistics and its contributions, cooperate with other organizations
in the advancement of statistics, foster education in statistics, and
in general make statistics of service to science and society.
ARTICLE III – Membership

Categories. The membership of the Chapter shall consist of two categories:
- Full Members: Persons holding membership in the American Statistical
Association.
- Associate Members: Persons interested in statistics in general or
the organization in particular, who are not also members of the
American Statistical Association.
- Term of membership. Membership will begin the day after dues are
paid and extend for twelve months.
- Voting privileges. Both categories of members shall be eligible
to vote in matters concerning the Chapter.
ARTICLE IV – Officers
- Officers. The Officers of the Chapter shall be a President, Vice
President, Secretary, Treasurer, Representative to the ASA Council of
Chapters, and Representative to the Council of Texas Statisticians (COTS). The President, Secretary, and ASA Council Representative shall be full members.
- Election. The Officers shall be duly elected by ballot annually
except that the Executive Committee shall fill any vacancy which may
occur between the elections in any office.
- Term of office. The President, Vice President, Secretary, and
Treasurer shall serve for a period of one year starting on 1 July. The
ASA Council Representative shall serve for a term of three years
beginning on 1 January as determined by the ASA Council of Chapters
rotation pattern. The Texas Council Representative shall serve for a
period of two years starting on 1 July. A member shall only hold
one office at a time and may be reelected to the same office.
ARTICLE V – Committees
The committees of the Chapter shall consist of the Executive
Committee, the Awards Committee, and any special committees.
- Executive Committee. The Executive Committee shall consist of
the President, immediate Past President, Vice President, Secretary,
Treasurer, and ASA Council Representative. Meetings of the Executive
Committee shall be held whenever called by the President or requested
by a majority of the committee members.
- Awards Committee. The Awards Committee shall be composed of the
Vice President as Chairman and at least two other members of the
Chapter appointed by the President. The committee shall set criteria
for any awards to be given by the Chapter and select the recipient
or recipients for these awards.
- Special Committees. These committees shall be established when
deemed necessary by the President. They shall serve for the duration
of their purpose only.
ARTICLE VI – Publications
The Secretary of the Chapter shall publish a newsletter describing
any upcoming Chapter meetings, statistical activities in the San Antonio
area, and any other information of a statistical nature. The newsletter
shall be published at least four times a year.
ARTICLE VII – Meetings
There shall be four or more regular meetings in one year, including
an annual meeting.
ARTICLE VIII – Finances
- Dues. Membership dues shall be determined by a majority vote
of the Chapter members present at a regular meeting. Any change in the
dues shall be preceded by an announcement in the newsletter and a
discussion at the next regular meeting. Dues may only be changed once
each year.
- Fiscal Year. The fiscal year of the Chapter shall be the calendar
year.
- Accounts. The Treasurer shall maintain the financial accounts of
the Chapter. The Treasurer shall make all disbursements from such
accounts as directed by the Executive Committee or the President.
In addition, the Treasurer shall annually prepare a financial
statement and all applicable financial legal documents including
tax papers.
- Considerations. No part of the net earnings of the Chapter
shall benefit or be distributable to its members, officers, or
other private persons, except that the Chapter shall be authorized
and empowered to pay reasonable compensation for services rendered
and to make payments and distributions to further the purposes
mention in Article II.
- Awards. The Treasurer shall maintain an accounting of all
funds established and received for any awards and shall disburse
such funds as determined and directed by the Awards Committee.
- Dissolution. Upon the dissolution of the Chapter, assets
shall be distributed to the American Statistical Association,

exempt purposes within the meaning of Section 501(c)(3) of the
Internal Revenue Code of 1954, or corresponding Section of any
future Federal tax code.
ARTICLE IX – Association with other Organizations
- American Statistical Association. This Chapter will remain
affiliated with the ASA as long as it has a Charter issued by the
Board of Directors. The Chapter shall comply with any and all
provisions of the Constitution and By-Laws of the American
Statistical Association that apply to it. The Secretary shall
maintain the official copies of the Chapter Constitution and
the Charter. The Chapter shall elect a representative to the
ASA Council of Chapters.
- Council of Texas Statisticians. This Chapter is affiliated
with other statistical associations in the Texas state area. The
Chapter shall participate in the Annual Conference for Texas
Statisticians. The Chapter shall elect a representative to the
Council of Texas Statisticians.
- Other organizations. No substantial part of the activities
of the Chapter shall be the carrying on of propaganda, or
otherwise attempting to influence legislation, and the Chapter
shall not participate in, or intervene in any political campaign
on behalf of any candidate for public office. Notwithstanding
any other provisions of these articles, the Chapter shall not,
except to an insubstantial degree, engage in any activities, or
exercise any powers that are not in furtherance of the purposes
stated in Article II.
ARTICLE X – Amendments
This Constitution may be amended by an affirmative 2/3 (two-thirds)
vote of the Chapter members present at any regular meeting of the
Chapter, provided notices of such meeting and the proposed amendment
shall have been announced in the newsletter and sent to each voting
member at least two weeks before the date of the meeting in which
the proposed amendment is to be voted upon.
